By executing a purchase of lead(s) from the iLeadMachine Store (hereinafter, ‘Web Site’) owned and operated by Promero, the Purchaser acknowledges and agrees to the following terms and conditions.

Fees Subject to Change
Promero rates are subject to change without notice. Price changes are published on the Web Site.

Lead Disclaimer
Leads may be exchanged for the following reasons: disconnected, out of service, wrong telephone numbers, or bogus names. These are the only acceptable criteria for replacement of leads. Requests for credit must be made through the Web Site within 72 hours of purchase in order for a store credit to be given. Promero reserves the right to cancel the Purchasers opportunity to purchase future leads in the event that requests for store credits is determined to be excessive and unsubstantiated. Promero reserves the right to provide store credits in "old lead "equivalents during periods of low volume for fresh exclusive or semi-exclusive leads. All payments are non-refundable. All orders are filled on a "best effort" basis and no guarantee is made that specific delivery dates and/or order volumes can be filled. Purchaser must maintain a functional email account to receive leads. There is no credit for leads sent but returned as 'non deliverable' due to non-functioning Purchaser’s email accounts.

Warranties
Promero makes no express or implied warranties, representations, or endorsements whatsoever (including, without limitation, warranties of title or non-infringement or the implied warranties of merchantability or fitness for a particular purpose) with respect to the Web Site, any merchandise, information, or services provided through the Web Site, or the accuracy or results obtained from the use of any information or services provided through the Web Site.

Promero and the Web Site is a Conduit
Promero and the Web Site are not involved in any actual transactions between consumers and Purchasers. As a result, Promero and the Web Site have no control over the ability of consumers to purchase items. Promero and the Web Site cannot and do not control whether or not consumers will complete the purchase of items for which they have requested proposals or quotes. Because user authentication on the Internet is difficult, Promero cannot and does not guarantee that each consumer or Purchaser is who he or she claims to be. Consumers and Purchasers will be able to communicate directly with each other before any transaction is complete. In the event the consumer has a dispute with one or more Purchasers, the Purchaser releases Promero and its agents and employees from claims, demands, and damages arising out of or in any way connected with that dispute.

LIMITATION OF LIABILITY
IN NO EVENT WILL PROMERO OR ITS AGENTS BE LIABLE FOR ANY DAMAGES CAUSED BY ANY ON-LINE SERVICE, QUOTE PROVIDED BY PUCHASER TO A CONSUMER, TRANSMISSION, COMMUNICATIONS, OR COMPUTER SYSTEM FAILURE. IN NO EVENT WILL PROMERO OR ITS AGENTS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUES OR PROFITS OR THE COST OF OTHER FORMS OF ADVERTISING.

Miscellaneous
Promero does not approve of, or endorse, any product or service by including the Purchaser in its Purchaser database. Promero may include entries for any other person or Purchaser at any time. The Purchaser relationship is intended, created and governed by this agreement according to the laws of the State of Florida. This agreement between Promero and the Purchaser is the only agreement and supersedes any other verbal or written agreements regarding the subject matter of this Agreement.

Purchaser agrees that leads purchased on the Website are for its (Purchaser’s) internal use only. Purchaser agrees not to re-sell, re-distribute or make available any information obtained through the website without prior written consent of Promero. Purchaser acknowledges that any unauthorized distribution of the leads purchased on the Website may cause the termination of Purchasers account, forfeiture of any credits and opportunity to purchase leads in the future.
